BDO supports Climatrix with the acquisition of Fairtech

Fairtech is an HVAC company specialising in air ventilation, while Climatrix is a leading player in heating and cooling systems, such as underfloor heating, climate walls and ceilings. 

First of all, our experts drew up a financial plan (bank documentation) and carried out a valuation analysis. The aim was to determine the fair value of the shares of the Limburg-based company Fairtech. 

In addition, BDO assisted with:  

• the negotiations between the buyer and seller during the acquisition process,  
• performing tax, legal and financial due diligence,
• drawing up the necessary transaction documentation (including Letter of Intent, Term Sheet, share transfer agreement). 

Fairtech was founded in 2016 and specialises in the sale and installation of high-quality air ventilation systems (heating and cooling). The company is based in Houthalen-Helchteren and works mainly with professional partners, such as installers, but also focuses partly on private individuals. 

Both companies will continue to operate independently of each other: Climatrix will continue to focus exclusively on heating and cooling, while Fairtech will focus on ventilation. However, Fairtech's activities complement those of Climatrix, allowing Climatrix to expand its existing offering and creating numerous synergies between the two companies.
